Terms of service

1. Acceptance of terms

These Terms of Service are an agreement between you and Private Clubs ("we", "us"). By accessing or using the Private Clubs website, MCP server or API (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of service

Private Clubs is a directory of private clubs worldwide. The platform allows users to browse club listings, submit membership enquiries, and manage club profiles. AI apps and developers can also search the public club listings through the read-only MCP server and the API described in section 8. The Service is provided on an "as is" basis.

3. User accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for all activity under your account.

4. Club listings

Club information displayed on the platform is provided for informational purposes. While we make reasonable efforts to ensure accuracy, we do not guarantee that listing data, including fees, waitlist status, or amenities, is current or complete. Clubs that claim their listing may edit their own data.

5. Membership enquiries

Submitting an enquiry through the platform does not constitute a membership application. Clubs are under no obligation to respond to or accept enquiries. We are not a party to any membership agreement between users and clubs.

6. The AI assistant

The AI assistant answers questions using the club information on the platform. Its answers can be incomplete or wrong, and they are not financial, legal or membership advice. Check fees, waitlists and terms with the club before you rely on them. Members can send 100 messages a day, reset at midnight UTC. Free accounts can send 5 messages in total. Everyone is limited to 10 messages a minute. We may change the models the assistant uses.

7. AI credits

Credits let you send more assistant messages or use a stronger model. They are a one-time purchase, not a subscription. You can buy between 2,000 and 20,000 credits, and the price is shown before you pay. A message on the included model uses 20 credits. Stronger models use more credits per message, as shown before you send. Credits you buy are used only after any included messages or plan credits. They can only be used for the AI assistant, have no cash value and cannot be transferred.

Credits you buy never expire.

If a reply fails because of a problem on our side or our provider's, including a timeout, the message is returned automatically: an included message goes back to your allowance, and credits go back to your balance. Closing the assistant before a reply finishes is not a failed reply.

You can cancel a credit purchase within 14 days for a full refund if you have not used any of its credits. At checkout you ask us to make credits available immediately, and you agree that your right to cancel ends once you use any of them. This does not affect your statutory rights, including for faulty digital content. To request a refund, email support@theprivateclubs.com.

If we stop offering the AI assistant, we will refund unused credits you bought.

8. AI apps, the MCP server and the API

Private Clubs offers an MCP server at https://www.theprivateclubs.com/api/mcp for AI apps and an API at https://www.theprivateclubs.com/api/v1/clubs. You can use both without an account, as described in our documentation at https://docs.theprivateclubs.com.

You may use the MCP server and the API as documented, at no charge, to look up, search and compare clubs and to show the results inside an AI app or product, including for work. When you show results, credit Private Clubs as the source and link to the club's profile on theprivateclubs.com.

You need a paid monthly data feed license from us to download the directory in bulk, extract it systematically, scrape, mirror, cache or store the directory or a substantial part of it, use the directory to build or enrich a database or dataset, or resell it. This includes paging through results or splitting up queries to collect the directory, collecting AI training data through the MCP server or the API, and any use that works around our rate or result limits. This section does not limit what our robots.txt at https://www.theprivateclubs.com/robots.txt allows: crawlers that follow it may read our public pages for search, AI answers and AI training, as the Content Signals in it say.

We may limit, suspend or block access that looks like bulk collection. We may also change, limit or suspend the MCP server, the API or your access to them at any time.

Results are provided as is. Club details can be incomplete or out of date, so check fees, waitlists and terms with the club before you rely on them. Clubs cannot pay to appear in results or to rank higher.

9. Prohibited conduct

You may not use the Service to: transmit spam or unsolicited communications; impersonate another person or entity; scrape, harvest, or collect data from the platform without a paid data feed license or our written consent; interfere with the operation of the Service; or violate any applicable law or regulation. Using the MCP server or the API, or crawling our public pages, as section 8 allows is not scraping. Using the MCP server or the API to collect the directory or a substantial part of it is.

10. Intellectual property

All content, design, and code on the platform are the property of Private Clubs or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent, except as section 8 and our data license at https://www.theprivateclubs.com/data/license allow. Copying the directory or a substantial part of it, including into a database or a dataset, or collecting AI training data through the MCP server or the API, needs a paid data feed license, as section 8 explains.

11. Limitation of liability

To the maximum extent permitted by law, Private Clubs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

12. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. If you are a consumer, you keep the protection of the mandatory laws of the country where you live.
